1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Ralpha platform ("Service"), operated by AHI Networks Inc. ("Company," "we," "our," or "us"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
2. Description of Service
Ralpha is an AI-controlled rendering platform that uses Unreal Engine 5 to generate 3D scenes from reference images and text descriptions. The Service includes:
- AI-powered scene generation and matching
- An Unreal Engine 5 plugin for direct engine control
- An asset library for 3D models, textures, and materials
- Project management and collaboration tools
- API access for programmatic scene generation
- Export functionality for rendered scenes and projects
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activity under your account
- Not share your account with others or create multiple accounts
You must be at least 13 years of age to use the Service. If you are under 18, you must have a parent or legal guardian's consent.
4. Intellectual Property
4.1 Your Content
You retain ownership of all content you upload to the Service, including reference images, text prompts, and custom assets ("Your Content"). By uploading Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store Your Content solely to provide the Service.
4.2 Generated Content
You own the output generated by the Service based on Your Content ("Generated Content"), subject to the following conditions:
- Generated Content must not infringe third-party rights
- We may use Generated Content for service improvement and model training
- You are responsible for ensuring Generated Content complies with applicable laws
- Generated Content incorporating third-party assets is subject to those assets' licenses
4.3 Our Intellectual Property
The Service, including its software, algorithms, models, design, and documentation, is owned by AHI Networks Inc. and protected by copyright, trademark, and other intellectual property laws. You may not reverse engineer, decompile, or disassemble any part of the Service.
5. Prohibited Conduct
You agree not to:
- Generate content that is illegal, harmful, threatening, abusive, or harassing
- Create NSFW, sexually explicit, or pornographic content
- Generate content depicting violence against real individuals
- Create deepfakes or misleading media of real people without consent
- Infringe on the intellectual property rights of others
- Use the Service for spam, phishing, or malware distribution
- Attempt to circumvent content moderation or safety systems
- Use automated tools to scrape, crawl, or harvest data from the Service
- Interfere with or disrupt the Service or its infrastructure
- Resell, sublicense, or redistribute the Service without authorization
- Use the Service to develop a competing product
Violations may result in content removal, account suspension, or permanent termination at our sole discretion. See our Acceptable Use Policy for detailed guidelines.
6. Payment and Credits
6.1 Pricing
The Service operates on a credit-based system. Credits are required for scene generation, export, and certain other operations. Pricing is listed on our Credits page.
6.2 Subscriptions
Subscription plans are billed monthly or annually. Subscriptions auto-renew unless cancelled before the end of the current billing period. You may cancel at any time through your account settings.
6.3 Refunds
Unused credits are non-refundable except where required by law. If the Service fails to generate output due to a technical error on our end, we will credit your account. Subscription refunds are handled on a case-by-case basis within 14 days of purchase.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AHI NETWORKS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Any unauthorized access to or alteration of your data
- Any third-party conduct on the Service
- Service interruptions, delays, or errors
Our total aggregate liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
9. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time through your account settings or by contacting us.
Upon termination, your right to use the Service ceases immediately. We may retain Your Content for a reasonable period to allow for data export. Sections 4, 7, 8, 10, and 11 survive termination.
10. Dispute Resolution
Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules. The arbitration shall be conducted in San Diego, California.
You agree to resolve disputes individually, without class actions. This arbitration agreement does not prevent either party from seeking injunctive relief in court for intellectual property matters.
11. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
12. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email or in-app notification at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you disagree with any changes, you must discontinue use of the Service.
